WHEREAS:
- Article II of the Bylaws of Granite Bay Flycasters, a
nonprofit public benefit corporation, provides in relevant
part as follows: "This corporation is a nonprofit public
benefit corporation and is not organized for the private
gain of any person."
- There are differences of opinion among members of the
board of directors ("board") with regard to the meaning of
the quoted language from Article II of the Bylaws.
- The language of Article II of the Bylaws was adopted as
part of the bylaw amendments that were necessary in order to
apply for and obtain tax exempt status for Granite Bay
Flycasters under applicable California and federal laws
relating to tax exempt status of nonprofit organizations.
- It is appropriate for the board to adopt resolutions
that interpret and apply the various provisions of the
Bylaws, including Article II.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD
OF DIRECTORS OF GRANITE BAY FLYCASTERS as follows:
- No member shall be paid for any services they provide
to the Club except for reimbursement of expenses, nor shall
any member receive any free promotion from Granite Bay
Flycasters of their private business or financial endeavors.
Members shall not receive any discounts, gifts or special
considerations from outside businesses or individuals, which
are offered, due to their position within Granite Bay
Flycasters, unless the offer is made available to the entire
membership.
